1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Attesto website, dashboard, APIs and related services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise using the Service, you ("Customer," "you," "your") agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that entity, and "you" will refer to that entity.

2. Definitions

• "Order Form" means the online or written order specifying the Subscription Plan, fees and any additional terms.
• "Content" means all documents, data and other materials uploaded to or generated in the Service by Customer or its Users.
• "Subscription Term" means the paid period (monthly or annual) set out in the Order Form or self-service checkout.
• "User" means an individual who is authorised by Customer to use the Service (e.g., employees, contractors, auditors).

3. Our Service

Subject to these Terms and timely payment of fees, Attesto Ltd. grants you a non-exclusive, non-transferable, worldwide right to access and use the Service during the Subscription Term solely for your internal business purposes.

4. Customer Responsibilities

• Ensure that Users keep login credentials confidential and use strong passwords or SSO.
• Upload only Content that you have the right to process and distribute.
• Comply with all applicable laws (including data-protection and export-control laws) when using the Service.
• Not (i) reverse-engineer, decompile or otherwise attempt to derive source code; (ii) interfere with or disrupt the Service; or (iii) use the Service to transmit malware or spam.

5. Fees & Payment

All fees are due in advance and are non-refundable except as expressly provided in Section 9 (Warranties) or Section 10 (Termination). If you exceed plan limits, we may invoice you for additional usage at the then-current rates. Late payments may incur interest at 1.5% per month (or the maximum allowed by law).

6. Free Trial

If you register for a 14-day free trial, we will make the Service available on a trial basis until the earlier of (a) the end of the trial period or (b) the start of a paid Subscription Plan. During the trial the Service is provided "as is" without warranty, and Attesto shall have no indemnity obligations.

7. Intellectual Property

Attesto and its licensors own all right, title and interest in and to the Service, including all enhancements and derivative works. Except for the limited licence granted herein, no rights are conveyed. You retain all rights in your Content.

8. Limited Warranty

Attesto warrants that the Service will perform materially in accordance with the documentation and that we will not materially decrease the overall functionality during a Subscription Term. Your exclusive remedy for breach of this warranty is, at our option, (i) repair or re-performance of the Service, or (ii) a pro-rated refund of prepaid fees for the period the Service was non-conforming.

9. Disclaimers

EXCEPT AS EXPRESSLY SET OUT IN SECTION 8, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. Attesto does not warrant that the Service will be error-free or uninterrupted.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ATTESTO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL ATTESTO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL.

11. Indemnification

You will indemnify and hold harmless Attesto and its officers, directors and employees from any claim arising from (i) Content you upload; (ii) your breach of these Terms; or (iii) your violation of applicable law.

12. Term & Termination

• Either party may terminate these Terms for material breach with 30 days' written notice if the breach remains uncured.
• Upon termination, your right to access the Service ceases immediately. We will make your Content available for download for 30 days, after which it will be deleted in accordance with our Data-Retention Policy.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of London, UK shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

14. Changes to the Terms

We may revise these Terms to reflect changes in the Service, law or business requirements. If we make material changes, we will provide at least 14 days' notice via email or in-app message. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
